Key Responsibilities

  • Organise and manage Board, Committee and line-of-business meetings
  • Take ownership of the corporate and business governance arrangements for subsidiary and other entity boards
  • Oversee the discharge of regulatory obligations for Branches
  • Oversee the administration of Powers of Attorney for HSBC companies, subsidiaries and branches
  • Provide advice, guidance and support on the execution of corporate transactions for HSBC companies and subsidiaries
  • Provide advice, guidance and support to the Company Secretary and Boards of Subsidiaries
  • Manage a wide range of relationships, at the highest levels, with key internal and external stakeholders
  • Support the Company Secretary with governance and appointment of Board Directors for HSBC subsidiaries
  • Contribute to the development of staff in the Governance function
  • Interpret and execute legislation and regulations within [Region/HGHQ/Country]
  • Understand and fulfil all statutory obligations for HSBC companies, subsidiaries and branches
  • Manage corporate records and filings for HSBC companies, subsidiaries and branches
  • Manage company listings for HSBC Holdings and other listed subsidiaries within the Group
  • Manage change within local team to continuously improve the efficiency and effectiveness of the service

Job Requirements

  • Comprehensive understanding and experience of company secretarial, governance and regulatory environment pertaining to large complex financial services organisation. Knowledge of and understanding of individual accountability regimes.
  • Has taken on leadership responsibilities, supporting team objectives, contributing to strategy development, and helping to deliver consistent results through collaboration with others.
  • Able to demonstrate a consistent track-record of achieving results through others in complex and dynamic organisational environments.
  • Has experience of contributing to cultural change and/or significant change efforts.
  • Communicates ideas and messages clearly, uses language and examples that suit different audiences. Helps to keep conversations focused and productive to promote understanding.
  • Excellent written communication skills and ability to absorb complex information and simplify.
